Terms of Sale

Louis VICAT, sole trader (entreprise individuelle), trading as Menustro, registered office: 63 chemin de Ribotière, 38330 Saint-Ismier (France), SIREN 107 544 827, SIRET 107 544 827 00010, VAT not applicable (article 293 B of the French General Tax Code), registered with the Grenoble trade register under number 107 544 827 R.C.S. Grenoble.

Menustro means the business operating the service identified above.

Business customer means any legal entity or individual acting for professional purposes and using Menustro for their establishment.

Establishment means a restaurant or food service venue operated by a Business customer and listed on Menustro.

Service means Menustro’s professional features, including the creation and management of multilingual digital menus with allergen information.

Business account means the user account attached to a Business customer for accessing the Service.

Subscription means the paid access plan to the Service, monthly or annual.

These Terms of Sale govern the supply of the Menustro service, on a subscription basis, to business customers operating an establishment.

They do not currently cover the sale of physical equipment (QR code stickers, NFC tags, table stands); that activity, listed as secondary in the trade register, will be covered by a dedicated section if and when applicable.

As the Service is reserved for business customers acting in the course of their business, the right of withdrawal provided for in articles L221-18 et seq. of the French Consumer Code, which applies to consumers only, does not apply to this contract.

Subscribing to Menustro is done online by creating an account and registering the establishment, which requires a valid SIRET number.

No payment card is required at this stage: creating the account and starting the 14-day free trial (see article 4) are possible without a registered payment method.

Only one free trial is granted per SIRET number. An establishment that has already used a free trial may not benefit from a second one, including by creating a new account.

The business customer warrants the accuracy of the information provided at sign-up, in particular regarding their establishment and SIRET number.

Menustro offers the following plans:

• Monthly subscription: €39 / month.
• Annual subscription: €390 / year (equivalent to 2 months free compared with the monthly plan).

These prices are net; Menustro is not subject to VAT (article 293 B of the French General Tax Code).

A 14-day free trial, with no commitment and no payment card required, is offered on first sign-up, under the conditions set out in article 3.

At the end of this 14-day period, access to the paid features of the service is automatically suspended until a payment method has been provided and a subscription plan (monthly or annual) has been chosen.

Once a payment method has been provided and a plan chosen, the subscription is charged automatically via Stripe, and then at each renewal date (monthly or annual depending on the plan chosen).

The business customer is responsible for keeping the payment method registered on their account valid.

The subscription is taken out for the duration of the chosen plan (monthly or annual) and renews automatically at each renewal date unless cancelled.

The customer may cancel their subscription at any time from their account. Cancellation takes effect at the end of the current period (monthly or annual); access to the service remains active until that date, with no pro-rata refund for the period already started.

In accordance with article L441-10 of the French Commercial Code, any late payment automatically incurs a penalty calculated at the statutory interest rate in force plus 10 percentage points, along with a fixed recovery-costs indemnity of €40, without prejudice to further compensation, on production of supporting evidence, where the recovery costs actually incurred exceed that amount.

In the event of non-payment, and failing settlement within 7 calendar days of the due date, Menustro may suspend access to the service after formal notice by email.

Menustro also reserves the right to terminate the contract and to take any appropriate action to recover the sums owed.

The business customer undertakes to use the service strictly for lawful, professional purposes, to keep their credentials secure, and to comply with all regulatory obligations relating to their business, in particular regarding the allergen information shown on their menus.

Menustro uses reasonable means to ensure access to the service but is bound by an obligation of means only (obligation de moyens). Menustro cannot be held liable in the event of network interruption, unavailability of a third party, misconfiguration by the customer, or non-compliant use.

Menustro may suspend access to the service in the event of non-payment, fraud, security breach or serious breach of contract.

Menustro may terminate the contract in the event of a serious breach that is not remedied within 30 days of notification. The customer may terminate in the event of an established breach of contract by Menustro that is not remedied within the same period.

Menustro may change its prices with at least 2 months’ notice by email, taking effect from the following billing cycle.

These Terms of Sale are governed by French law. Any dispute falls within the exclusive jurisdiction of the Commercial Court having jurisdiction over Menustro’s registered office (Grenoble).

These Terms of Sale are written in French. Any translation into another language is provided for information only and has no contractual value. In the event of any discrepancy between the French version and a translation, only the French version is legally binding.
